This service allows people who were unable to participate in the original conference
to call in at any time to hear a recording of the conference. Capabilities like
fast forward, rewind and pause are available to all participants via remote access.

Recordings:
The operator will record your conference call and provide you with a recording on a CD. Users can request delivery of their CD’s by overnight or standard mail. Return to top.
Transcription:
A call may be transcribed in a number of software formats. Transcription is invoiced
on a per-transcription-hour basis with a quarter hour conference usually taking

Translation:
A call may be translated into foreign languages. Translation is invoiced on a
per translation-hour basis with a quarter hour conference usually taking one hour

Participant Lists:
A list of participants may be e-mailed or faxed to the chairperson, contact, etc.

Polling:
Polling allows the host to track audience responses to survey questions or key
points of a meeting. Participants are able to respond to multiple-choice questions
using their phones. Results can be tabulated and distributed to the host while
the call is in progress. Polling is an ideal tool for sales training programs,
market-testing response, investor relations meetings and more. Return

Queuing:
The moderator has the ability to control a question-and-answer session by allowing
conference participants to queue up for a question using their touch-tone phones.

Full Time Monitoring:
The operator will monitor your conference call and be immediately available to

Listen Only:
Participants may be placed in a listen-only position where they can hear the conference
but not be heard on the call. In essence, their line is muted. A single line or
group of lines may be placed in the listen-only position. Return

Entrance and Exit Tone:
Distinctive tones will sound as participants enter or exit the conference. Return

Participation Notification (Verbal or Fax):
A customized conference call notification form will be e-mailed or faxed to individuals
you request to participate on your conference call. The form also provides critical
information, such as date and time of the call, dial in numbers along with helpful
hints on how to make the call a success. Participants may also be notified verbally

Communications Line:
Teleconferencing Services offers a communications line between you and a conference
operator that allows you to get updates on your conference and/or authorize participants

Music on Hold:
Participants are placed on hold and in music status until the host or moderator

E-mail or Fax Confirmation:
After making a reservation, we will provide either an e-mail or a fax confirmation

Broadcast Fax:
We will simultaneously distribute meeting materials to all participants via fax.

Billing Options:
Detailed invoices for each call will arrive bi-weekly. Alternate billing arrangements,
such as monthly billing, can be arranged upon request. Return

Billing Management Reports:
Monthly summary reports detailing company usage are available upon request. Billing
reports are available in a variety of formats including diskette, CD-ROM and paper.
We can accommodate any billing integration option, such as: ASCII, Fixed and Delimited,
Microsoft Excel, Lotus 1-2-3, QuattroPro and EDI/EMI. Most major client/server

Duplicate Billing:
Customers may choose to have two bills sent for internal purposes. Return

Volume dependent customers may request to have billing data sent on disk or electronically.

Fax on Demand (Inbound or Outbound):
Participants have the option to receive materials through our fax on demand service.
Using a touch-tone menu, documents can be requested and faxed any time day or

Custom Greeting:
A Conference Coordinator can introduce the meeting with a customized message.

Lecture Mode:
A conference call can be placed in lecture mode at any time, allowing only one
location to be heard. This helps eliminate extraneous noise, which is common on
large calls. When interaction is desired, the call can be placed back into a fully

Late Participants:
A Conference Coordinator can announce the arrival of new participants. Return

Private Sub-Conference:
Meeting leaders may wish to sub-conference privately while locations are dialing
into the conference. A conference call can also be divided into more than one
conference for smaller breakout conferences. The conference coordinator can return

Permanent Reservation:
Regularly scheduled meetings can be prearranged to take place automatically, day-to-day,
week-to-week and month-to-month. Customers wishing to have the convenience of
a conference number that is always available to them may request a "MyConferenceSM"

The Operator can be recalled into conference by pressing star and zero (*0) on

Conference Security:
The complete confidentiality of every conference call is the foundation of our
business. All Teleconferencing Services areas are secure from unauthorized personnel
and visitors, and each Teleconference Coordinator and Reservationist is required
to sign a non-disclosure agreement regarding confidential information. In addition,
no one may join a conference call without going through a Teleconference Coordinator,
who will clear any unlisted participants with the host, before admitting them
to the conference call. For added security, Passcode Services may be employed,
where participants enter a pass code and are automatically entered to the conference

Terms and Conditions:
As a customer of Teleconferencing Services, LLC (TSI), you agree to accept the
following terms and conditions: Invoices will be considered past due if not paid
within thirty (30) days of the date of invoice. Past due invoices shall be subject
to late charges of 1.5% per month (or fraction thereof) of the past due amount
or the highest lawful rate, if lower. TSI warrants that the services will function
as represented in their functional or technical documents or user manuals as applicable
during the time that customer uses our services. Customer’s sole and exclusive
remedy in the event that TSI breaches this warranty will be for TSI, at its option
to repair, replace and / or re-perform the nonconforming services or to credit
to Customer any amounts invoiced for such nonconforming services. TSI shall not
have any liability to any party, including but not limited to Customer, for the
loss, delay or inaccuracy of any communication stored in or transmitted by TSI
or its suppliers’ equipment. TSI does not make any representation or warranties,
either express or implied (except as provided herein), and hereby disclaim the
implied warranties of merchantability and fitness for a particular purpose. TSI’s
total liability for any and all claims arising under or related to providing its
services to Customer, whether based on contract, tort, equity or otherwise, shall
not exceed Customer’s average conference invoice for the prior year. Return
